Whilst Top Rankings (Web Marketing Solutions Pty Ltd) operates as a non-contract digital marketing agency, we believe in setting clear expectations between both parties. These terms outline the responsibilities, commitments, and standards agreed upon by you (the Client) and Top Rankings once any of our services commence.
By accepting our proposal, quote, or onboarding form, the Client acknowledges and agrees to the following terms.

1. Scope of Services
Top Rankings will provide the services outlined in the agreed proposal, quotation, or onboarding form. Any additional work, such as website development, graphic design, or third-party integrations, will be quoted separately and require written approval before commencement.
2. Upfront Payment Commitment
To confirm your commitment and secure our services, the first month’s payment is required upfront. This upfront fee ensures:
- Scheduling of your campaign within our production calendar.
- Allocation of expert resources and strategic planning time.
- Uninterrupted service delivery from day one.
This payment reflects a mutual agreement to proceed professionally and in good faith.
3. Payment Terms
- Payment terms are as stated on your invoice.
- A default fee of $150.00 may be charged on any outstanding invoice that remains unpaid after 30 days from the invoice date.
- Interest of 10% per annum may be applied to overdue balances.
- The Client must pay all recovery and legal costs, including debt collection fees, legal expenses, and solicitor costs on an indemnity basis, as determined by our appointed creditor.
4. Access and Collaboration
To deliver effective results, the Client agrees to provide Top Rankings with access to the following (where required):
- Website hosting and Content Management System (CMS).
- Google Search Console (Webmasters).
- Google Ads.
- Google My Business / Google Business Profile.
- Google Analytics.
- Google Tag Manager.
The Client must ensure that all access is accurate, active, and maintained throughout the campaign period.
5. Client Responsibilities
- Notify Top Rankings of any website updates or structural changes that could affect SEO performance.
- Inform Top Rankings of any marketing, PR, or advertising activities that may influence tracking or performance.
- Provide requested platform access promptly to prevent campaign delays.
- Understand that restricted access, lack of communication, or website downtime may affect performance outcomes.
6. Top Rankings Commitments
- Apply ethical, white-hat SEO practices and industry-leading standards.
- Never engage in spam, link schemes, or black-hat techniques.
- Use non-editorial, licensed stock images or client-approved assets for published content.
- Quote any out-of-scope work separately and obtain approval prior to commencing.
- Notify the Client if any additional costs arise due to revisions or change requests outside the initial scope.
7. Campaign Duration & Reporting
- Although Top Rankings operates without fixed-term contracts, we recommend a minimum campaign duration of 6 months to allow SEO strategies to perform effectively.
- The Client will receive a monthly performance report before the 10th of each month, outlining key metrics, progress, and next steps.
8. Performance Disclaimer
Whilst Top Rankings uses proven strategies to achieve optimal results, search engine rankings and traffic outcomes cannot be guaranteed due to factors outside our control, including algorithm updates, competitor activity, and market conditions. We focus on best-practice SEO to maximise long-term visibility and performance.
9. Liability & Disclaimer
- Top Rankings applies proven strategies and best practices, but SEO and digital marketing results can vary due to search engine algorithm changes, market competition, and other external factors beyond our control.
- Top Rankings shall not be held liable for fluctuations in rankings, leads, or revenue.
- The Client acknowledges that SEO is a long-term investment, and results depend on multiple factors, including competition and website condition.
10. Limitation of Liability
To the maximum extent permitted by law, Top Rankings shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue, profits, or business opportunities, arising out of or in connection with the provision of services.
11. Confidentiality
All information shared between Top Rankings and the Client is treated as strictly confidential. We will never disclose, sell, or share confidential data without written consent, except as required by law.
12. Data Privacy & Security
Top Rankings adheres to the Australian Privacy Principles. All client data, including login credentials, will be stored securely and only used for campaign purposes. The Client is responsible for maintaining the security of their own systems and passwords. Top Rankings will not be held liable for unauthorised access beyond our control.
13. Intellectual Property
- All SEO strategies, reports, and materials created by Top Rankings remain the property of Top Rankings until full payment has been received.
- Upon full payment, ownership of written content, reports, and on-site optimisations will transfer to the Client.
- Software tools, methodologies, and templates used by Top Rankings remain proprietary intellectual property.
14. Third-Party Tools & Integrations
Top Rankings may use third-party software, plugins, or APIs (such as Google Analytics, Ahrefs, or SEMrush) to support campaigns. Top Rankings is not responsible for interruptions, data inaccuracies, or limitations caused by these third-party providers.
15. Suspension of Services
Top Rankings reserves the right to suspend services without notice if any invoice remains unpaid after 30 days, or if access required for campaign delivery is revoked. Services may resume once outstanding payments or access issues are resolved.
16. Cancellation Policy
- The Client may cancel all services at any time with 30 days’ written notice.
- This notice period allows Top Rankings to wind down campaign activity, remove system access, and prepare final reports and recommendations for any future provider.
17. Communication & Approvals
All communication between Top Rankings and the Client will occur via email unless otherwise agreed. Campaign approvals, including content, design, or strategic direction, must be provided within five (5) business days of request. Delays in providing feedback or required materials may impact timelines and results.
18. Amendments to Terms
Top Rankings reserves the right to update or amend these Terms & Conditions at any time. Any changes will be communicated in writing and deemed accepted upon continued engagement of services.
19. Governing Law
These terms are governed by and interpreted under the laws of the State of Victoria, Australia. Any disputes will be resolved under the exclusive jurisdiction of the Victorian courts.
20. Agreement
By engaging Top Rankings’ services, the Client confirms that they have read, understood, and agreed to these Terms & Conditions.
